Welcome to ExpiryKeeper. These Terms of Service ("Terms") govern your use of the ExpiryKeeper document expiry tracking service ("Service") provided by ExpiryKeeper ("we", "us", or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that:

You are at least 16 years of age
You have the legal capacity to enter into a binding agreement
If using on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Service

ExpiryKeeper is a document expiry tracking and reminder service that allows you to:

Track expiration dates of documents, certificates, licenses, and contracts
Receive email notifications before documents expire
Organize documents using categories, tags, and workspaces
Collaborate with team members on shared workspaces
Export document data via calendar feeds

3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

Maintaining the confidentiality of your login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

3.2 Account Security

You agree to:

Use a strong, unique password
Enable additional security features when available
Not share your account credentials with others
Log out from shared devices

We reserve the right to suspend or terminate accounts that we believe have been compromised.

4. Subscription Plans and Billing

4.1 Free and Paid Plans

We offer various subscription plans with different features and limits. Details of current plans are available on our website.

4.2 Payment Terms

For paid subscriptions:

Fees are charged in advance on a monthly or annual basis
All fees are non-refundable except as required by law
You authorize us to charge your payment method on file
Prices may change with 30 days notice

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

You retain access until the end of your current billing period
No refunds are provided for partial periods
Your data will be retained for 30 days, then permanently deleted

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service to track legitimate documents and business records.

5.2 Prohibited Activities

You agree NOT to:

Use the Service for any illegal purpose
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble the Service
Resell, sublicense, or redistribute the Service without permission
Use automated tools to access the Service (except authorized APIs)

5.3 Content Standards

Any content you upload must not:

Infringe intellectual property rights of others

You may export Your Data at any time using our export features. Upon account termination, you will have 30 days to export Your Data before deletion.

The Service, including its design, features, code, and content (excluding Your Data), is owned by ExpiryKeeper and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without permission.

7.2 Trademarks

"ExpiryKeeper" and our logo are trademarks of ExpiryKeeper. You may not use our trademarks without prior written consent.

7.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction or compensation.

8. Third-Party Services

8.1 Integrations

The Service may integrate with third-party services (calendar applications, etc.). Your use of third-party services is subject to their respective terms and privacy policies.

The Service may contain links to third-party websites. We are not responsible for the content or practices of these external sites.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE

ACCURACY OR RELIABILITY OF ANY INFORMATION

WE DO NOT WARRANT THAT:

The Service will be uninterrupted or error-free
Defects will be corrected
The Service is free of viruses or harmful components
The results of using the Service will meet your requirements

IMPORTANT: ExpiryKeeper is a reminder tool. We are not responsible for any consequences arising from missed deadlines, expired documents, or failure to receive notifications. You are solely responsible for managing your document compliance.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
WE ARE NOT LIABLE FOR DAMAGES RESULTING FROM MISSED REMINDERS, EXPIRED DOCUMENTS, OR DATA LOSS

SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless ExpiryKeeper, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Your Data or content you upload

12. Termination

12.1 By You

You may terminate your account at any time through account settings or by contacting us.

12.2 By Us

We may suspend or terminate your account if you:

Violate these Terms
Engage in fraudulent or illegal activities
Fail to pay applicable fees
Have been inactive for an extended period

12.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
You will have 30 days to export Your Data
We may delete Your Data after the retention period
Provisions that should survive termination will remain in effect

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by:

Posting the updated Terms on our website
Sending an email to registered users
Displaying a notice in the application

Your continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service and cancel your account.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ExpiryKeeper regarding the Service.

14.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

14.5 Force Majeure

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet outages.
